Two dentists operating in partnership and with a service company attached, owned by discretionary trusts to provide management, premises, staff etc sought our advice on restructuring with a view to incorporation of their practice.  The registration authority had relaxed its requirements regarding incorporation; in fact, seminars were being conducted advocating incorporation of professional practices for dentists, lawyers, accountants and other professionals.

We were able to advise our clients as regards the treatment of personal services income generated by professional practices, whether or not the income is derived from professional services provided by the principals in the main, or whether the income is derived from a business structure through the employment of non principal practitioners.

We advised these clients as to the most appropriate structure to move forward and cater for the future introduction of other principals, capital gains tax implications and small business capital gains tax concessions.

We also advised our clients as regards remuneration for professionals, both principal and non principal, based on experience together with a progressive equity acquisition.
